By submitting an application to the Bidness Affiliate Program, you agree to be bound by these Terms and Conditions in full. If you do not agree, do not apply or participate.

The Bidness Affiliate Program ("Program") is operated by Ember Media LLC ("Company," "we," "us," or "our") and allows approved participants ("Affiliates") to earn commissions by referring paying customers to askbidness.com ("Platform"). Participation in the Program is subject to approval by Ember Media LLC at our sole discretion. Approval is not guaranteed and may be revoked at any time.

To participate in the Program you must: — Be at least 18 years of age — Have an active online presence (social media, newsletter, website, podcast, or similar) — Agree to these Terms in full — Not be a direct competitor of Bidness or employed by one — Not be a current employee, contractor, or immediate family member of Ember Media LLC — Reside in a jurisdiction where participation is legally permitted We reserve the right to decline or revoke any application without explanation.

Commissions are paid based on the tier assigned to your account at the time of approval: TIER 1 (Standard) — Monthly plans: $5.00 bounty at signup + 10% of each monthly payment for up to 12 consecutive months — Annual plans: $10.00 bounty + 10% of the annual subscription price, paid once TIER 2 (High Performer — by invitation or upgrade only) — Monthly plans: $10.00 bounty at signup + 10% of each monthly payment for up to 12 consecutive months — Annual plans: $20.00 bounty + 10% of the annual subscription price, paid once Recurring commissions are calculated on the net subscription amount actually collected by Ember Media LLC, excluding taxes, fees, and refunds. Commissions stop after 12 consecutive monthly payments per referred subscriber, or immediately upon that subscriber's cancellation, refund, or chargeback, whichever comes first. Add-on products (Kalshi Signals, Kalshi Auto-Trade, Paper Trading Terminal, Trading Course) may generate separate commissions at rates disclosed at the time of purchase. Founding Member lifetime products earn a one-time bounty only with no recurring component.

You will be assigned a unique referral code and link upon approval. Referrals are tracked via a 30-day cookie placed on the referred visitor's browser at the time they click your link. A referral is credited to you only if: — The visitor clicks your unique referral link — The visitor completes a paid subscription within 30 days of that click — No subsequent affiliate link from another affiliate overwrites your cookie before purchase (last-click attribution) We are not responsible for cookie blocking, browser privacy settings, or any technology that prevents tracking. No commission will be paid for referrals we cannot verify.

The following are strictly prohibited and will result in immediate termination and forfeiture of all pending commissions: — Self-referrals: Referring yourself, family members, household members, or anyone acting on your behalf to earn a commission — Paid advertising using our brand name, trademarked terms, or variations thereof without prior written approval — Spam: Email spam, unsolicited messages, or bulk messaging of any kind — Misleading claims: Making false, exaggerated, or unsubstantiated claims about Bidness, its features, results, or potential earnings — Cookie stuffing or any form of forced or artificial cookie placement — Coupon or deal site misrepresentation — Bidding on our branded keywords in paid search campaigns — Creating fake accounts, fake referrals, or fraudulent transactions — Any conduct that we determine, in our sole discretion, to be harmful to Bidness, our users, or our brand We actively monitor for fraud. Suspected fraud results in immediate account suspension pending investigation, with termination and commission forfeiture if confirmed.

As an Affiliate you are representing Bidness to your audience. By participating you agree to: — Only make accurate, truthful statements about Bidness and its features — Clearly and conspicuously disclose your affiliate relationship in all promotional content, consistent with FTC guidelines (e.g., "#ad", "#sponsored", "affiliate link", or equivalent) — Not use our logos, trademarks, or brand assets without prior written approval — Not create content that is misleading, defamatory, obscene, or otherwise objectionable — Not associate Bidness with political content, illegal activity, adult content, hate speech, or content that conflicts with our brand values We reserve the right to review your content at any time. We may require you to remove or modify content at our discretion. Failure to comply within 48 hours is grounds for termination.

MINIMUM PAYOUT The minimum payout threshold is $20.00 USD. Commissions below this amount accumulate until the threshold is reached. REQUESTING A PAYOUT You may request a payout from your affiliate dashboard once your pending balance reaches $20.00 USD. Payouts are processed manually and typically issued within 7 business days of approval. PAYOUT METHODS Payouts are issued via PayPal, Venmo, Cash App, Zelle, or bank transfer (Stripe Connect) depending on the payout method you selected during application. We are not responsible for delays caused by third-party payment processors. COMMISSION VALIDATION All commissions are subject to a 30-day validation period from the date of the referred subscription. Commissions from subscriptions that are refunded, charged back, or cancelled within 30 days of purchase are reversed and will not be paid. TAXES You are solely responsible for reporting and paying any taxes on commissions earned. Ember Media LLC will issue a Form 1099-NEC to US-based affiliates who earn $600 or more in a calendar year as required by law. By providing your payout information you confirm the information is accurate and belongs to you.

These Terms are effective upon your application and continue until terminated by either party. You may terminate your participation at any time by contacting affiliates@askbidness.com. We may terminate or suspend your participation immediately and without notice if: — You violate any provision of these Terms — We determine your content or conduct is harmful to Bidness or our users — You engage in any fraudulent or deceptive activity — We discontinue the Program Upon termination, all pending commissions from unvalidated referrals are forfeited. Commissions already earned from validated referrals that have cleared the 30-day validation period will be paid out at the next payout cycle, provided no fraud is detected.

Ember Media LLC reserves the right to modify these Terms, commission rates, payout thresholds, or any other aspect of the Program at any time. We will provide at least 14 days' notice of material changes via email to your registered address. Your continued participation after the effective date of any changes constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must terminate your participation before the effective date.

You are an independent contractor of Ember Media LLC. Nothing in these Terms creates an employment, partnership, joint venture, agency, or franchise relationship between you and Ember Media LLC. You have no authority to bind Ember Media LLC in any contract or representation. You are solely responsible for your own taxes, insurance, and business expenses.

To the maximum extent permitted by applicable law, Ember Media LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your participation in the Program, including but not limited to loss of revenue, loss of profits, or loss of data. Our total liability to you for any claim arising under these Terms shall not exceed the total commissions paid to you in the 3 months preceding the claim.

You agree to indemnify, defend, and hold harmless Ember Media LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your violation of these Terms; (b) your promotional activities; (c) your content; or (d) your violation of any applicable law or third-party rights.

These Terms are governed by the laws of the State of Louisiana, United States, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in Louisiana under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

These Terms, together with our Privacy Policy and Terms of Service, constitute the entire agreement between you and Ember Media LLC regarding the Program and supersede all prior agreements and understandings. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
