By accessing or using Bidness ("the Service"), operated by Ember Media LLC, a Louisiana limited liability company ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations, including applicable U.S. federal and state securities laws. If you do not agree, do not use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting on the platform or emailing your registered address at least 30 days before changes take effect. Continued use after the effective date constitutes acceptance.

Bidness is a stock screening, AI-powered market analysis, paper trading simulation, prediction market tracking, and trading education platform. We are not a broker-dealer, investment adviser, registered financial planner, commodity trading adviser, or fiduciary of any kind. We do not execute real trades on your behalf. We do not provide personalized investment advice.

Nothing on this platform — including AI-generated content from "Bob," Bob's Plays, screener results, Kalshi signals, prediction market analysis, geopolitics analysis, sentiment data, SEC filings summaries, or any other content — constitutes financial advice, investment advice, or a recommendation to buy, sell, or hold any security or financial instrument. All content is for educational and entertainment purposes only.

Ember Media LLC is not registered with the SEC, FINRA, CFTC, NFA, or any state securities regulator as a broker-dealer, investment adviser, commodity trading adviser, or in any other regulated capacity.

You must be at least 18 years old to use Bidness. By creating an account, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement.

The Service is primarily intended for users in the United States. Users outside the United States access the Service at their own risk and are solely responsible for compliance with all applicable local laws and regulations, including securities laws. Residents of jurisdictions where the Service may conflict with local law are not permitted to use the Service. We reserve the right to restrict access from any jurisdiction at any time without notice.

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@askbidness.com of any unauthorized access.

You may not share your account, create multiple accounts, or impersonate other users. Accounts found to be fraudulent, abusive, or in violation of these Terms may be suspended or terminated without notice or refund.

Bidness offers the following subscription tiers: Free ($0/mo), Grind ($15/mo), Hustle ($30/mo), Pirate ($59/mo), Captain ($149/mo), and Buccaneer ($599/mo, waitlist-only). Annual pricing is available at approximately 20% discount. All fees are charged in USD via Stripe and are subject to change with 30 days' written notice to your registered email.

Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. Cancellation takes effect at the end of the current paid period — you retain access until then. All payment processing is handled by Stripe, Inc. under their own terms of service. We do not store your full payment card details.

Paid plans (Grind through Captain) include a 7-day free trial for new subscribers. No charge is made until day 8. We will send a reminder email on day 5. If you cancel before day 8, you will not be charged. After the trial period, the subscription renews automatically at the applicable rate. Free trial eligibility is limited to one trial per person and per payment method.

Monthly subscriptions: No refunds for partial months. Cancel anytime; access continues through the paid period.

Annual subscriptions: 7-day refund window from the annual purchase date. Non-refundable after 7 days.

One-time purchases (Paper Trading add-on, Trading Course): Final and non-refundable once access is granted.

Lifetime / Founding Member plans: Non-refundable under any circumstances. See Section 8.

Refund requests must be submitted to support@askbidness.com with your account email and order details.

Lifetime access plans grant access to the specified plan tier features for the operational life of the Bidness platform operated by Ember Media LLC. "Lifetime" means for as long as Bidness remains an active, operating service under Ember Media LLC. In the event Bidness ceases operations permanently, lifetime plan holders will receive a minimum 60 days' advance written notice.

Lifetime plans are non-transferable, non-refundable, and cannot be gifted or sold. They do not automatically include features added after the purchase date that are designated as a separate paid tier. Ember Media LLC reserves the right to modify or restructure specific features, with reasonable substitute functionality provided where possible.

The Founding Member offer is limited to the first 250 users (including free accounts) prior to April 27, 2026, or until slots are exhausted — whichever comes first. Pricing is set at two years of the applicable annual rate minus 10%, paid once.

You agree not to: scrape, crawl, or systematically download content or data from the platform without written authorization; redistribute or resell Bob AI output or market data without a valid commercial license from Ember Media LLC; reverse engineer, decompile, or attempt to extract source code or proprietary algorithms; use the platform for market manipulation, coordinated trading activity, pump-and-dump schemes, or any activity that violates SEC Rule 10b-5, FINRA rules, or other applicable law; post false, misleading, or defamatory content; harass, threaten, or abuse other users or staff; attempt to circumvent access controls, subscription paywalls, or security systems; or use automated bots or scripts to interact with the platform without written authorization.

Violation of these Terms may result in immediate account termination without refund, reporting to relevant regulatory authorities, and potential civil or criminal legal action.

Market data displayed on Bidness is sourced exclusively from Alpha Vantage (alphavantage.co), a licensed market data provider. This data is provided for informational and educational purposes only. Data may be subject to delays, may contain errors, and is not guaranteed to be accurate, complete, or timely.

You may not redistribute, resell, or use Alpha Vantage data served through Bidness for any commercial purpose other than your personal use of the platform. Systematic downloading, scraping, or redistribution of market data is expressly prohibited and may constitute a violation of Alpha Vantage's terms of service.

Always verify current prices, quotes, and market information with your licensed broker before placing any order. Do not rely on Bidness data as the sole source for time-sensitive trading decisions.

Bidness integrates with Kalshi, Inc., a CFTC-regulated prediction market exchange. Bob's Kalshi signals are AI-generated, experimental, and provided for educational purposes only. Bob's simulated Kalshi account balance and track record reflect simulated performance only and do not predict future results.

The Kalshi Auto-Trade feature (Captain+ or add-on) is currently waitlist-only and pending legal review. When enabled, it executes real trades in your personal Kalshi account using your API credentials. You are solely and entirely responsible for all trades executed through this feature. Ember Media LLC is not a registered Commodity Trading Adviser (CTA) under the Commodity Exchange Act. Use of this feature is entirely at your own risk.

This feature may be modified, restricted, or discontinued at any time pending regulatory review. We strongly recommend consulting a licensed financial or commodity trading adviser before enabling any auto-trade functionality.

The "Bob" AI system is powered by Anthropic's Claude API and generates market analysis, trade setups, win probability scores, and educational commentary. Bob is not a licensed financial adviser, securities analyst, registered investment adviser, commodity trading adviser, or broker-dealer. Bob's output is machine-generated and may be incorrect, incomplete, outdated, or based on faulty assumptions.

Bob's historical win rate and performance statistics are backward-looking and do not predict future results. Bob's analysis should never be the sole basis for any investment or trading decision. Using Bob's output does not create any advisory, fiduciary, or client relationship between you and Ember Media LLC.

The paper trading feature uses simulated capital in a simulated environment. Results do not reflect real-world trading conditions and cannot predict actual performance. Key differences include: no slippage (paper trades execute at displayed prices; live orders may fill worse); no liquidity constraints; no emotional factors from trading real capital; and no real financial consequences. Strong paper trading performance does not predict success in live trading.

The prop firm evaluation simulator is a standalone educational tool. It is not affiliated with, endorsed by, or connected to any actual proprietary trading firm, including but not limited to Apex Trader Funding, TopstepTrader, FTMO, or any other firm. Passing the Bidness simulator does not guarantee passing any real evaluation, does not entitle you to any funded account, and is not recognized by any prop trading firm. Always verify current rules directly with any firm before purchasing an evaluation.

All content on Bidness — including software, design, algorithms, the Bob AI system, Bob's Plays analysis, course content, scoring systems, geopolitics tools, and branding — is the exclusive property of Ember Media LLC and is protected by applicable copyright, trademark, and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended personal, non-commercial purpose only. You may not copy, reproduce, modify, distribute, or create derivative works from any platform content without express written permission from Ember Media LLC.

You retain ownership of content you create on the platform, including predictions, comments, and profile information. By posting content on Bidness, you grant Ember Media LLC a non-exclusive, royalty-free, worldwide license to display, distribute, and use that content in connection with operating and promoting the Service. You represent that your content does not violate any third-party rights and is not false, defamatory, or illegal. We reserve the right to remove any user content that violates these Terms without notice.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EMBER MEDIA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, TRADING LOSSES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

You agree to indemnify, defend, and hold harmless Ember Media LLC and its officers, directors, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: your use of the Service; your violation of these Terms; your trading decisions made in reliance on the Service; your user-generated content; or your violation of any applicable law or third-party right.

These Terms are governed by and construed in accordance with the laws of the State of Louisiana, without regard to its conflict of law provisions. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Louisiana, and you consent to personal jurisdiction in those courts.

For any dispute under $10,000, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with proceedings conducted in Louisiana.

The Bidness Affiliate Program allows approved participants to earn commissions on paid subscriptions generated through their unique referral links. Participation is subject to the Affiliate Program Terms available at askbidness.com/affiliates. Commissions are paid monthly for qualifying conversions. Ember Media LLC reserves the right to modify commission structures, pause the program, or terminate individual affiliate accounts for violations of program terms or these Terms of Service. Affiliate commissions cannot be earned on your own account or through fraudulent referral activity.
